These Terms & Conditions (“Terms”) govern your access to and use of the websites, software, and services operated by LambdaWorx LLC (“LambdaWorx,” “we,” “us,” or “our”), including the TuneView platform at tuneview.io and any related calibration, tuning, or data services (collectively, the “Services”). By accessing, registering for, or using any Service, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Specific Services may have additional terms, policies, or order forms; those are incorporated by reference and, in the event of conflict, the Service-specific terms control as to that Service.

Scope.LambdaWorx provides software and services related to automotive engine control unit (“ECU”) tuning and calibration, including the TuneView platform (a marketplace and review tool for tuners and vehicle owners), custom ECU file modifications, calibration consulting, and delivery of tune files. The Services may include, without limitation: review of customer-submitted tune files; production of revised calibrations; data logging guidance; and access to a network of independent tuners (“Tuners”) who provide their own services through the platform.

As-Is, No Warranty on Tune Files.All tune files, calibrations, parameter changes, and recommendations are provided strictly “AS IS” and “AS AVAILABLE” without warranty of any kind, express or implied. We do not warrant that any tune will be free of defects, error, or risk; that it will achieve any particular power, torque, fuel economy, drivability, durability, or emissions outcome; or that it will be compatible with any specific vehicle, hardware combination, environmental condition, or fuel grade. Engine and drivetrain modifications are inherently high-risk and may cause loss of power, engine damage, transmission damage, fire, personal injury, or death. You assume all risk.

Customer Responsibility — Legal & Emissions. You are solely responsible for determining the legality of any tune, modification, or calibration in your jurisdiction and for the use to which the vehicle is put. Many calibrations offered or facilitated through the Services are intended for off-road, race, competition, or track-only use and are not legal for use on public roads in most jurisdictions. Tampering with, removing, or defeating emissions control devices may violate the U.S. Clean Air Act (42 U.S.C. § 7522), state laws (including but not limited to California Vehicle Code and the Illinois Environmental Protection Act), and equivalent foreign laws. By purchasing or applying a tune, you represent that the vehicle in question is used in compliance with all applicable laws and that the calibration will be used only for purposes that are lawful in your jurisdiction.

Dyno & Road-Testing Assumptions. Calibrations are developed against assumptions about hardware configuration, fuel quality, ambient conditions, sensor health, and vehicle state provided by you or by the Tuner. Final validation requires controlled testing — typically on a chassis or engine dynamometer and/or via instrumented road-testing — conducted by a qualified operator. LambdaWorx does not perform on-vehicle validation unless explicitly stated in a written engagement. You are responsible for competent installation, datalogging, monitoring of engine parameters during break-in, and ceasing use immediately if any abnormal condition is observed.

File Delivery, Revisions & Refunds. Tune files are typically delivered electronically as digital goods through the platform or via secure transfer. Because tune files are custom, perishable digital content tied to a specific vehicle and request, all sales of tune files are final and non-refundable once the file has been delivered, except where required by law. Where a paid calibration does not perform as represented for the configured hardware, the standard remedy is a revision of the file by the originating Tuner or by LambdaWorx, at our discretion. Refund eligibility for platform subscription fees is governed by the applicable order form or subscription terms.

Intellectual Property in Tune Files. Calibrations, parameter strategies, lookup tables, scaling data, and associated artifacts (the “Tune IP”) embody substantial know-how. Unless a written agreement says otherwise: (a) Tune IP authored by a Tuner remains owned by that Tuner, who grants you a limited, non-transferable, non-exclusive license to use the file solely on the specific vehicle for which it was developed; (b) Tune IP authored by LambdaWorx remains owned by LambdaWorx under the same limited license; (c) you may not redistribute, resell, sublicense, publish, reverse-engineer, or use the file on any other vehicle or VIN; and (d) any data you submit through the Services (including datalogs, vehicle metadata, and feedback) may be used by LambdaWorx to operate, improve, and train the Services, in aggregate or de-identified form.

You must be at least 18 years of age (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Services. By using the Services, you represent that you meet these requirements and that your use does not violate any law applicable to you.

Some Services require an account. You agree to provide accurate, current, and complete information; to maintain and promptly update that information; and to keep your credentials confidential. You are responsible for all activity under your account. Notify us promptly at info@tuneview.io of any unauthorized use. We may suspend or terminate accounts at our discretion, including for violations of these Terms or for activity that creates risk for the Services or other users.

Fees for the Services are presented at the point of purchase and may include one-time charges, subscription fees, or third-party fees collected on behalf of Tuners. Unless stated otherwise: fees are quoted in U.S. dollars; payment is due at the time of purchase or on the renewal date for subscriptions; and you authorize us (or our payment processor) to charge your selected payment method. Subscription fees are billed in advance and are non-refundable for the then-current period unless required by law. Custom tune files and calibration services are non-refundable once delivered, as set out in Section 02.

You agree not to:

• use the Services to violate any law, regulation, or third party right, including emissions, safety, and motor-vehicle laws;
• upload tune files, datalogs, or content that you do not have the right to share, or that contains malware, exploit code, or material that infringes intellectual property;
• attempt to reverse-engineer, scrape, or circumvent technical controls of the Services;
• use the Services to harass, defame, or impersonate another person, or to operate fraudulent transactions;
• use Tune IP on any vehicle or VIN other than the one for which it was developed, or redistribute it in any form; or
• interfere with the integrity or performance of the Services or the experience of other users.

The Services, including all software, content, designs, and trademarks (other than Tuner-owned Tune IP and User Content), are owned by or licensed to LambdaWorx and are protected by intellectual-property laws. Subject to your compliance with these Terms, LambdaWorx grants you a limited, non-transferable, non-sublicensable, revocable license to access and use the Services for their intended purpose. All rights not expressly granted are reserved.

User Content.You retain ownership of content you submit (datalogs, photos, vehicle data, comments — “User Content”). You grant LambdaWorx a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, create derivative works from, and use User Content as necessary to operate, improve, secure, and promote the Services, including for the training and refinement of our data and AI systems. You represent that you have the rights to grant this license.

Stock Calibration Data — Anonymized Aggregate Use. When you submit a stock (unmodified OEM) calibration file through TuneView’s intake process, LambdaWorx may retain an anonymized copy and use it to build aggregate stock-baseline references. Before any such copy is stored, we remove or cryptographically hash all vehicle identification numbers (VINs) and any owner or contact information collected during intake; no data capable of identifying you or your specific vehicle is retained alongside the calibration record. Anonymized calibration data from multiple users may be combined to produce aggregate reference baselines that improve tuning accuracy and outcomes for all customers across the platform. This use is covered by the license grant in this Section and does not require separate consent beyond your acceptance of these Terms.

READ THIS SECTION CAREFULLY. ECU TUNING IS A REGULATED AND SAFETY-SENSITIVE ACTIVITY. THESE LIMITATIONS ARE A MATERIAL BASIS OF THE BARGAIN.

Disclaimer.THE SERVICES, INCLUDING ALL TUNE FILES, CALIBRATIONS, RECOMMENDATIONS, REVIEWS, AND PLATFORM-DELIVERED CONTENT, ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. LAMBDAWORX SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT TUNES WILL BE COMPATIBLE WITH ANY SPECIFIC VEHICLE OR HARDWARE; OR THAT THE USE OF A TUNE WILL NOT RESULT IN MECHANICAL DAMAGE OR LEGAL EXPOSURE.

Assumption of Risk. You acknowledge that modifying engine, transmission, or vehicle control software can cause severe and irreversible mechanical damage, void factory and aftermarket warranties, render a vehicle unsafe or illegal to operate on public roads, and cause personal injury, death, or property damage. You assume all such risk.

Limitation of Liability.TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LAMBDAWORX, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS (INCLUDING TUNERS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL; OR THE COST OF SUBSTITUTE SERVICES — ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LAMBDAWORX’S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO LAMBDAWORX FOR THE SERVICES IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN OF THESE EXCLUSIONS OR LIMITATIONS; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MINIMUM EXTENT PERMITTED.

You agree to defend, indemnify, and hold harmless LambdaWorx, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or third-party right, including emissions, safety, or motor-vehicle laws; (d) your installation, application, or operation of any tune file or calibration; and (e) any User Content you submit.

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. The exclusive jurisdiction and venue for any dispute arising out of or related to these Terms or the Services will be the state and federal courts located in DuPage County, Illinois, and you consent to personal jurisdiction in those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

We may update these Terms from time to time. The “Last Updated” date at the top reflects the most recent revision. Material changes will be communicated through the Services or by email where reasonable. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
